TERMS OF USE
These Terms govern your use of this website, its content, forms, and assessment-request tools. They do not create a service commitment or replace the terms of a signed client agreement.
1. What these Terms cover
These Terms of Use ("Terms") govern your access to and use of jfdimediaco.com and any content, forms, or assessment-request tools on it (the "Site"), operated by JFDI Media, LLC ("JFDI Media," "we," "us," or "our"). By using the Site, you agree to these Terms. If you do not agree, do not use the Site.
These Terms govern use of the website only. They do not govern services we may provide to a client. Hosting, business continuity and backup, recovery or failover, coaching, and other engagements are governed by the applicable signed client agreement and any relevant scope, data-processing, or service terms. If these Terms conflict with a signed client agreement, the signed agreement controls for that client and engagement.
Nothing on the Site creates a service commitment, service level, or offer capable of acceptance. Commitments arise only from a signed agreement.
2. Who can use the Site
The Site is intended for businesses and institutions. By using it, you represent that you are at least 18 years old and, if you are acting for an organisation, that you have authority to bind that organisation to these Terms.
3. Permission to use the Site
We grant you a limited, revocable, non-exclusive, non-transferable licence to access and view the Site for your own internal business purposes. No other rights are granted.
4. Things you may not do
You agree not to:
- Access the Site by automated means, including scraping, crawling, harvesting, or bulk downloading, except for search-engine crawlers operating within our robots.txt instructions.
- Submit automated, false, or bulk form submissions, or submit another person's information without permission.
- Probe, scan, test, breach, or circumvent the security or authentication of the Site or a connected system or network.
- Interfere with the Site's operation, including through denial-of-service attempts or malware.
- Reverse engineer, decompile, or attempt to derive source code from any part of the Site.
- Copy, republish, resell, or redistribute Site content, or use it to build or train a competing product, dataset, or model.
- Impersonate a person or organisation, misrepresent your affiliation, violate law, infringe another person's rights, or remove a copyright, trademark, or other proprietary notice.
We may investigate suspected violations and may involve law enforcement where appropriate.
5. Assessment-request tools
The Site offers forms that help us understand whether a Hosting or Continuity conversation may be useful. The forms do not provide an automated evaluation, security audit, penetration test, risk assessment, disaster-recovery test, compliance certification, professional opinion, or recommendation. We do not inspect or verify your environment solely because you submit a form.
What we discuss depends on the accuracy and completeness of what you submit. A conversation, form submission, or follow-up email does not mean your systems are secure, your backups are recoverable, you are compliant with a law, framework, or insurance requirement, or that you should make a particular purchase. Nothing in an assessment request creates a professional, advisory, fiduciary, or client relationship.
Do not rely on a form submission or follow-up as the basis for a decision about data protection, recovery capability, or regulatory compliance. Validate material matters through an actual engagement, a documented recovery test, or your own qualified advisers.
Do not enter credentials, customer records, student records, health information, cardholder data, or other sensitive or regulated data into an assessment form. Assessment forms are not a secure transfer channel.
6. Coaching and other content
Articles, guides, checklists, and coaching content on the Site are general business and technology information. They are not legal, accounting, tax, insurance, medical, or regulatory advice, and they are not tailored to your situation. Obtain your own professional advice before acting on information from the Site.
7. What you submit to us
You keep ownership of the information you submit through the Site. You grant us a non-exclusive, worldwide, royalty-free licence to use, store, and reproduce your submission to respond to you, arrange an assessment conversation, operate the Site, and improve our services. Our handling of personal information is described in our Privacy Policy.
If you send us feedback, suggestions, or feature ideas, we may use them without obligation, compensation, or attribution. Do not send information you consider confidential unless we have a signed non-disclosure agreement in place.
You represent that you have the right to submit what you submit and that it does not infringe another person's rights or violate a law or confidentiality obligation.
8. Our intellectual property
The Site and its content—including text, graphics, logos, layout, assessment methodology, and software—are owned by us or our licensors and are protected by copyright, trademark, and other laws. “JFDI Media” and our logos are our marks. You may not use them without our written permission.
9. Third-party names, links, and platforms
We reference third-party products and platforms, including Veeam, Microsoft, Dropsuite, and others. Those names and marks belong to their respective owners. A reference identifies technology we work with and does not imply an endorsement of JFDI Media, except where a partner or provider status is expressly stated.
The Site may link to third-party sites. We do not control or endorse them and are not responsible for their content, terms, or privacy practices. Follow third-party links at your own risk.
10. Site availability
We aim to keep the Site available, but make no commitment about Site uptime. We may modify, suspend, or discontinue any part of the Site at any time without notice. Site availability is unrelated to a service level that may apply to purchased services under a signed agreement.
11. Disclaimer of warranties
THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND. To the fullest extent permitted by law, we disclaim all warranties, express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and any warranties arising from course of dealing or usage of trade.
We do not warrant that the Site will be uninterrupted, secure, or error-free; that defects will be corrected; or that the Site or its content is accurate, complete, or current. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.
12. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, JFDI MEDIA WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOST BUSINESS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE, WHETHER IN CONTRACT, TORT, OR ANY OTHER THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE AND THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).
This section does not limit liability that cannot be limited under applicable law. It applies to Site use only; liability arising from purchased services is governed by the applicable signed client agreement.
13. Indemnification
You will indemnify, defend, and hold harmless JFDI Media, LLC and its officers, members, employees, and contractors from any claim, demand, loss, liability, or expense, including reasonable attorneys' fees, arising out of your use of the Site, your submissions, your violation of these Terms, or your violation of a law or third-party right.
14. Suspension and termination
We may suspend or terminate your access to the Site at any time, for any reason, without notice. Sections 4, 7, 8, and 11 through 17 survive termination.
15. Governing law and venue
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. You and we agree to the exclusive jurisdiction and venue of the state and federal courts located in Brazos County, Texas, and waive any objection to that venue.
16. General
Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us regarding the Site and supersede prior understandings about the Site.
Changes. We may update these Terms by posting a revised version with a new “Last updated” date. Continued use after an update means you accept it. If a change is material, we will make reasonable efforts to flag it on the Site.
Severability. If a provision is held unenforceable, the rest remains in effect and the unenforceable provision is modified to the minimum extent necessary.
No waiver. Our failure to enforce a provision is not a waiver of it.
Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
No third-party beneficiaries. These Terms create no rights in anyone other than you and us.
